The deal, in plain words.

The short version

1. Agreeing to these terms

Sprwl (the app at app.sprwl.co and this website) is run by SKD Systems LLC ("we", "us"). By creating an account or using Sprwl, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Sprwl.

You must be at least 13 years old, and old enough to agree to these terms where you live. Sprwl isn't directed at children. If we learn an account belongs to someone under 13, we'll delete it. If you use Sprwl for an organization, you're agreeing on its behalf and confirming you're allowed to.

2. Your account

• Use a real email address you can receive mail at. We use it for sign-in, password resets and important notices about the service.
• Keep your password to yourself, and turn on two-factor authentication if you can. You're responsible for what happens under your account.
• One account per person. Accounts are personal and can't be sold or transferred.
• If you think someone else has got into your account, email support@sprwl.co straight away.

3. Your content

Everything you put into Sprwl (notes, lists, reminders, tags, images and links) stays yours. We don't claim any ownership of it.

To run the service we need your permission to store your content, copy it between our servers and backups, and show it back to you on your devices. You give us that permission, only for that purpose and only while your content is in Sprwl. We don't sell your content, show it to other users, use it for advertising, or use it to train AI models.

You're responsible for what you put in Sprwl, and for having the right to store it.

4. What you can't do

Please don't use Sprwl to:

• break the law, or store content that's illegal for you to have, including anything that sexually exploits children;
• harass, threaten or harm anyone;
• upload malware, or use Sprwl to host or spread files for others (it's a personal notebook, not a file-sharing service);
• get into accounts or data that aren't yours, or probe, scan or test our security without our written permission;
• create accounts or notes by bot or in bulk, scrape the service, or put an unreasonable load on it;
• copy, resell or rebrand Sprwl itself, or get around any limit or restriction we've put in place.

5. Fair use and limits

When we say notes are unlimited, we mean you won't hit a limit through normal personal use. To keep Sprwl fast and affordable for everyone, and to stop scripted abuse, each account currently has these ceilings:

• 5,000 notes per account;
• 50,000 characters per note;
• 4 images per note, 2 MB each, and 500 images per account;
• 200 tags per account;
• 60 link-preview lookups per hour.

If you're getting close to a limit for a legitimate reason, tell us. We may change these limits as Sprwl grows. If we lower one below what you're already using, we'll tell you first and we won't delete anything you've already saved because of it.

7. Ending things

You can stop using Sprwl at any time and delete your account from the account menu (Delete account). That permanently removes your account and everything in it. See the Privacy Policy for how long copies linger in backups.

We may suspend or close an account that breaks these terms, puts other people or the service at risk, or that we're required to close by law. Where it's reasonable and legal, we'll tell you why and give you a chance to fix it or copy your notes out first.

8. No warranty

Sprwl is provided "as is" and "as available". To the fullest extent the law allows, we make no promises that it will be uninterrupted, error-free or secure, that reminders will always fire on time, or that it will suit any particular purpose. Please don't rely on Sprwl for anything where a missed reminder or a lost note could cause serious harm, such as medical, safety or legal deadlines.

9. Limits on our liability

To the fullest extent the law allows, we aren't liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, profits or revenue, arising from your use of Sprwl. Our total liability for any claim about Sprwl is limited to the greater of what you paid us in the 12 months before the claim or US$50.

Some places don't allow some of these limits. Where that's the case, they apply only as far as the law there allows, and nothing in these terms takes away rights you have by law that can't be waived.

If someone makes a claim against us because of content you stored, or because you broke the rules in section 4, you agree to cover our reasonable costs of dealing with it.

10. Changes to these terms

We may update these terms as Sprwl changes. If a change matters, we'll tell you by email or in the app before it takes effect. Continuing to use Sprwl after that means you accept the new terms. If you don't, you can delete your account. The date at the top always shows the latest version.

11. The legal bits

These terms are governed by the laws of Pennsylvania, USA, and any dispute will be handled in the courts there, unless the law where you live says otherwise. If any part of these terms can't be enforced, the rest still applies. If we don't enforce something straight away, we haven't given up the right to later. These terms and the Privacy Policy are the whole agreement between you and us about Sprwl.
